USAGE AGREEMENT

These Terms of Use constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and Stringline Productions ("Company," "we," "us," or "our"), concerning your access to and use of virtualcontrollers.co.za and PatchGrid, our iPad application, including related media, websites, and support services (collectively, the "Services").

PatchGrid is an independent iPad application for controlling and organising sounds on compatible Korg M3 hardware. These Terms apply to the PatchGrid iPad app and the PatchGrid website unless a separate written agreement or Apple term applies.

By accessing or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use. If you do not agree with all of these Terms, you are expressly prohibited from using the Site and must discontinue use immediately.

Supplemental terms or documents that may be posted on the Site from time to time are hereby expressly incorporated by reference. We reserve the right to modify these Terms at any time. Continued use of the Site after changes are posted constitutes acceptance of the revised Terms.

ELIGIBILITY & JURISDICTION

The Site is not intended for use by any person or entity in any jurisdiction where such use would violate applicable laws or regulations. Users accessing the Site from outside South Africa do so at their own initiative and are responsible for compliance with local laws.

INTELLECTUAL PROPERTY RIGHTS

Unless otherwise stated, the Site and all content, including source code, databases, software, designs, audio, video, text, graphics, and trademarks (collectively, the "Content" and "Marks"), are owned or licensed by Stringline Productions and are protected by South African and international intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Site for personal, non-commercial purposes only. No part of the Site or its Content may be copied, reproduced, sold, licensed, or exploited without our prior written consent.

NON-AFFILIATION AND DISCLAIMER

This software is an independent product developed by Stringline Productions. We are not affiliated, associated, authorized, endorsed by, or in any way officially connected with Korg Inc., or any of its subsidiaries or affiliates.

The name "Korg" as well as related names, marks, emblems, and images are registered trademarks of their respective owners. Any reference to these trademarks is strictly for the purpose of identifying compatibility or the intended use of our software.

Support Notice: Please do not contact Korg regarding this software. Korg provides no support, warranty, or troubleshooting for this product. All queries, technical support requests, and claims must be directed exclusively to Stringline Productions.

USER REPRESENTATIONS

By using the Site, you represent and warrant that:

1. You have legal capacity and agree to comply with these Terms;
2. You are not a minor in your jurisdiction;
3. You will not use automated or non-human means to access the Site;
4. You will not use the Site for illegal or unauthorized purposes;
5. Your use will comply with all applicable laws.

We reserve the right to suspend or terminate accounts containing false, inaccurate, or incomplete information.

PRODUCTS AND COMPATIBILITY

We make reasonable efforts to display products accurately but do not guarantee descriptions, pricing, or availability. Products are subject to change or discontinuation at any time without notice.

Compatibility: This software is designed to work with the specific operating systems and hardware configurations listed on the product page at the time of purchase. Stringline Productions does not guarantee that the software will remain compatible with future operating system updates, driver changes, or hardware modifications.

PURCHASES, PAYMENT & DIGITAL GOODS

For purchases made through our website, accepted payment methods may include Visa, Mastercard, American Express, and Instant EFT. Payment options may differ by product and location.

You agree to provide accurate billing information and authorize us to charge your selected payment method. Prices are subject to change.

Website digital goods: By purchasing and downloading a digital product from our website, you acknowledge that delivery may begin immediately. Refunds for website purchases are handled under the applicable product terms and mandatory consumer law.

App Store purchases: Purchases made through the Apple App Store are processed by Apple and are subject to Apple’s applicable terms and refund procedures. Nothing in these Terms limits rights available under Apple’s terms or mandatory law. PatchGrid iPad functionality is not unlocked using a website license key.

CHARGEBACKS & ACCOUNT RESTRICTIONS

If you have a problem with a website purchase, please contact us so we can investigate it. We reserve the right to address fraudulent or unauthorized transactions in accordance with applicable law and the terms of the relevant payment provider. App Store purchase disputes and refund requests must be handled through Apple’s applicable process.

PROHIBITED ACTIVITIES

You may not use the Site for unauthorized commercial activities, unlawful purposes, or actions that compromise system integrity or intellectual property.

LIMITATION OF LIABILITY AND HARDWARE DISCLAIMER

IMPORTANT NOTICE: PLEASE READ THIS SECTION CAREFULLY.

To the maximum extent permitted by applicable law, specifically the Consumer Protection Act, 2008 (CPA):

1. Software Provided "As Is"

The software is provided by Stringline Productions on an "as is" and "as available" basis. We make no representations or warranties of any kind, express or implied, regarding the operation of the software, its compatibility with your specific hardware configuration, or that it will be error-free.

2. Exclusion of Damages to Hardware (M3 Device)

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT:

• Use of this software involves sending System Exclusive (SysEx) data and MIDI messages to your hardware.
• STRINGLINE PRODUCTIONS SHALL NOT BE LIABLE for any direct, indirect, incidental, or consequential damages arising from the use or inability to use the software, including but not limited to:
  • Damage to your Korg M3 synthesizer or any other connected hardware;
  • Loss of factory presets, user data, or system settings;
  • "Bricking" or freezing of the device requiring a factory reset or repair;
  • Corrupted memory, storage or loss of any patch or sequence data.

BY USING THIS SOFTWARE, YOU VOLUNTARILY ASSUME ALL RISKS associated with connecting third-party software to your M3 device. You are solely responsible for backing up your device's data and settings prior to use.

3. General Limitation

In no event shall Stringline Productions' total liability to you for all damages, losses, and causes of action exceed the amount paid by you, if any, for accessing or purchasing the software.

GOVERNING LAW

These Terms are governed by and interpreted in accordance with the laws of the Republic of South Africa. You hereby consent to the exclusive jurisdiction of the High Court of South Africa in respect of any disputes arising in connection with these Terms.

PATCHGRID IPAD APP CONNECTIVITY

The PatchGrid iPad app processes MIDI, patch, sequence, and device data locally on the iPad and through the connected Korg M3. The app does not require an internet connection, account, or website license key to access its core functionality.

The app requires compatible Korg M3 hardware and the connection method described in the product information. You are responsible for backing up your hardware data before using third-party software with it.

DISPUTE RESOLUTION

All software, licensing or usage disputes will be dealt with in a fair manner that allows the user access and usage of the software for the price paid. Any other disputes are non-binding and user or customer agrees that remuneration or provision of services or goods are limited to this principle. Class actions are prohibited.

FORCE MAJEURE

Stringline Productions shall not be liable for any failure to perform its obligations where such failure results from any cause beyond Stringline Productions' reasonable control, including, without limitation, mechanical, electronic, or communications failure or degradation (including "load-shedding" or internet service provider failures).

MARKETING COMMUNICATIONS

We may send service-related communications, such as receipts, support responses, and important notices, when necessary to provide a requested service. We send marketing communications only where you have separately opted in, and you may withdraw that consent at any time using the unsubscribe link or by contacting us.

MISCELLANEOUS

These Terms constitute the entire agreement. If any provision is deemed unenforceable, the remainder remains valid.

END USER LICENSE AGREEMENT (EULA)

PatchGrid is licensed for use through the Apple App Store. Your App Store download, use, restoration, and purchase rights are also governed by Apple’s applicable terms. Redistribution, reverse engineering, or unauthorized copying is prohibited except where permitted by law. The SOFTWARE is provided "AS IS" to the maximum extent permitted by law.
